NetMetrix to become
part of Fluke Networks

Fluke Networks Inc. of Everett is buying the NetMetrix division of Agilent Technologies Inc. for an undisclosed amount of stock and cash, a move designed to strengthen the firm’s position in the rapidly expanding computer network field.

A former division of the Fluke Corp. in Everett, Fluke Networks has an estimated annual revenue of $100 million and a payroll of 300 people.

NetMetrix, part of Agilent’s Communications Solutions Group, is expected to have fiscal 2000 revenues of about $25 million. NetMetrix employs more than 100 employees in Santa Clara, Calif., and Colorado Springs, Colo., with field and support staff throughout the United States and in 15 countries.

“We wanted to grow and expand and to broaden our product basket,” said Julie Kuntz, a Fluke Networks spokeswoman.

Fluke Networks is well known for its handheld analyzers and troubleshooting equipment, while NetMetrix is best known for its RMON probes, equipment installed in a network to troubleshoot technical problems and find solutions.

Fluke Networks, spun off from Fluke Corp. last May, still shares office space with Fluke Corp. It has been experiencing a 50 percent to 60 percent growth rate each quarter.

Under the terms of the agreement, Fluke Networks will acquire the assets of the NetMetrix division, including managers and employees, key technologies, intellectual property and products.

Fluke Networks Inc. is a subsidiary of Danaher Corp. (NYSE: DHR), a Washington, D.C.-based provider of innovative software and products for installing, monitoring and maintaining local- and wide-area networks and their underlying fiber- and copper-cable infrastructure.

“We are excited about becoming part of Fluke Networks’ expanding range of Internet-related test solutions,” said Anita Manwani, General Manager of the NetMetrix division. “The integration of NetMetrix strengthens Fluke Networks’ position in the market, provides continuity for existing NetMetrix customers and provides a solid platform for continued innovation in the future.”
